Quorum
The quorum must be greater than half of the members present
Meetings, Agendas, Approval of the minutes
• Meetings
(a) It is expected that the Board members meet three times a year, subject to the initial review of industry priorities and the approved work plan of the ICB
(b) Meetings must be held face-to-face (2 out of 3 meetings) or via teleconference/videoconference, if appropriate
(c) Additional meetings may be called by the Secretariat
(d) The Secretariat will facilitate the meeting
(e) Decision making process:
- Decisions can be approved through majority vote or consensus. The Chair shall has the casting vote, if required.
• Meeting minutes
A member of the Secretariat shall be present at the Board meetings for the purpose of taking minutes and answering any inquiries from members about the agenda and the status of work being undertaken on behalf of the Board.Minutes must be made available to all Board members, present or absent, subsequent to the meeting (generally no later than 10 working days).
Minutes will normally include:
(a) names of those present
(b) names of those absent
(c) an outline of substantive discussions
(d) details of actions agreed, orders, and decisions made, including numbers of proponents and opponents
• Costs associated with meetings
Costs associated with facilitating the board meetings will be borne by the Secretariat.
